Who we are

Articles of Incorporation

The Administración del Sistema Portuario Nacional Ensenada, S.A. de C.V. is a corporation with variable capital incorporated under the laws of the United Mexican States by means of public deed No. 30,965, dated June 22, 1994, executed before Lic. Jorge Antonio Sánchez Cordero Dávila, Notary Public No. 153 of Mexico City. The corporation was registered in the Commercial Section of the Public Registry of Property and Commerce of Ensenada, Baja California, on July 21, 1994, under entry number 5005106.

Concession Title

On June 30, 1994, the Federal Government, through the then-Secretariat of Communications and Transportation, granted to the Administración del Sistema Portuario Nacional Ensenada, S.A. de C.V. the Concession Title for the comprehensive port administration of the port and port area of Ensenada, Baja California, which was published in the Official Gazette of the Federation on September 26, 1994.

Addendum to the Concession Agreement

On June 18, 1999, the Federal Executive, through the then-Secretariat of Communications and Transportation, granted the then-Administración Portuaria Integral de Ensenada, S.A. de C.V., an Addendum to its Concession Title, published in the Official Gazette of the Federation on August 30, 1999, thereby amending the Concession Title for the first time.

Second Addendum to the Concession Agreement

On December 15, 2006, the Federal Government, through the then-Secretariat of Communications and Transportation, granted the Second Addendum to the Concession Title in favor of Administración del Sistema Portuario Nacional Ensenada, S.A. de C.V., thereby incorporating the port administration of the port and port area of El Sauzal, Baja California. This instrument was published in the Official Gazette of the Federation on March 6, 2007.

Amendment to the Concession Agreement

On June 16, 2008, the Federal Government, through the then-Secretariat of Communications and Transportation, granted Administración del Sistema Portuario Nacional Ensenada, S.A. de C.V., an Amendment to the Concession Agreement, thereby modifying Condition One to incorporate the Port and Port Area of Costa Azul, in the municipality of Ensenada, Baja California. This instrument was published in the Official Gazette of the Federation on November 20, 2008.

Modification to the Concession Title

On October 21, 2013, the First Amendment to the Concession Agreement granted to Administración del Sistema Portuario Nacional Ensenada, S.A. de C.V. was published in the Official Gazette of the Federation, authorizing the company to use, utilization, and operation of federal public property and of works and facilities owned by the Federal Government, as well as the construction of works, marinas, terminals, and port facilities, and the provision of port services within the port area of Ensenada, Baja California.

Second Amendment to the Concession Agreement

On June 17, 2025, the Federal Government, through the Ministry of the Navy, granted the Ensenada National Port System Administration, S.A. de C.V., the Second Amendment to the Concession Title, whereby Condition One of the Concession Title was amended to exclude a total area of 41,700.357 square meters—comprising 28,729.810 square meters of water and 12,970.547 square meters of land—from the concession, with the aim of transferring these areas to the Secretariat of the Navy for the conduct of naval activities, thereby strengthening security, surveillance, and maritime operational capabilities at the Port of Ensenada. This instrument was published in the Official Gazette of the Federation on August 20, 2025.

Third Addendum to the Concession Agreement

On June 20, 2025, the Federal Government, through the Ministry of the Navy, granted the Administración del Sistema Portuario Nacional Ensenada, S.A. de C.V., the Third Addendum to the Concession Title, thereby amending Condition One of the Concession Title to incorporate various bodies of water intended for the expansion of the main breakwater at the Port of Ensenada, the anchorage area in Todos Santos Bay, the Port of Rosarito complex, and a maritime area adjacent to the zone known as Baja Mar, thereby strengthening the region’s port, logistics, and maritime development. This instrument was published in the Official Gazette of the Federation on August 20, 2025.
