Articles of Incorporation

Administración de Sistema Portuario Nacional Ensenada, is a corporation with variable capital, incorporated under the laws of the Republic of Mexico, by means of public deed number 30,965 dated June 22, 1994, executed before Notary Public number 153 of Mexico City, Mr. Jorge Antonio Sánchez Cordero Dávila, and registered in the Commerce Section of the Public Registry of Property and Commerce of Ensenada, B.C. on July 21, 1994, under item 5005106.

Title of concession

On June 30, 1994, the Federal Government, through the Ministry of Communications and Transportation, granted the Administración de Sistema Portuario Nacional Ensenada, S.A. de C.V. a concession title for the port administration of the port and port precinct of Ensenada, B.C., which was published in the Official Gazette of the Federation on September 26, 1994. Second Addendum

On December 15, 2006, the Federal Government through the Secretariat of Communications and Transportation granted the Administration of the National Port System Ensenada, S.A. de C.V. second addendum to the Concession Title, for the port administration of the port and port precinct of El Sauzal, B.C., a document that was published in the Official Gazette of the Federation on March 6, 2007.

Expansion

On June 16, 2008, the Federal Government, through the Ministry of Communications and Transportation, granted to Administración de Sistema Portuario Nacional Ensenada S.A. de C.V. an extension to the concession for the port administration of the port and harbor of Costa Azul, B.C.

Modification to the Concession Title

On October 21, 2013, the first Amendment to the Concession Title granted in favor of the Administration of Sistema Portuario Nacional Ensenada S.A. de C.V., to use, exploit and exploit public property of the Federation and works and facilities owned by the Federal Government; as well as for the construction of works, marinas, terminals and port facilities and the provision of port services in the Port Precinct of Ensenada, Baja California, was published.
